By downloading, installing, or using the Smartshelf mobile application ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you ("User") and Smartshelf ("we," "us," or "our").
Smartshelf is an inventory management application designed for small retail businesses including gas stations, convenience stores, and liquor stores. The Service allows users to track inventory, scan products, receive low stock alerts, and manage their team's access to inventory data.
The Service is provided on a subscription basis with free and paid tiers as described on our pricing page.
To use Smartshelf, you must create an account by providing accurate and complete information. You are responsible for:
You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.
You agree to use Smartshelf only for lawful business purposes. You may not:
Smartshelf offers free and paid subscription plans. Paid subscriptions are billed monthly through Stripe, our payment processor.
You retain full ownership of all inventory data, product information, and content you enter into Smartshelf. By using the Service, you grant us a limited, non-exclusive license to store, process, and sync your data solely to provide the Service to you.
You are responsible for the accuracy of data you enter. We do not verify inventory counts, prices, or product information.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:
You acknowledge that Smartshelf is a tool to assist with inventory management, not a substitute for proper business processes. Inventory accuracy remains your responsibility.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTSHELF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
Our total liability to you for any claims arising from use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
If you invite team members to your organization within Smartshelf, you are responsible for their use of the Service and ensuring they comply with these Terms. As an organization owner, you control what permissions team members have.
We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion with reasonable notice where possible.
You may terminate your account at any time from within the app. Upon termination, your data will be deleted in accordance with our Privacy Policy.
We may update these Terms from time to time. We will notify you of material changes by posting a notice in the app or sending an email to your registered address at least 14 days before changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada.
